Why the Agent Line Is Not Just a Mailbox in This State

Rhode Island built its compliance reminder around the agent, which is unusual.

Before February 1 each year the state posts a courtesy notice about the coming annual report. It does not go to the members. It goes to the agent of record. That envelope is the state's only unprompted warning, and after May 31 a $25 penalty attaches to a report that has not been filed. Keep missing it and revocation proceedings become a live risk.

Which means the practical test of an agent here is narrow and easy to state: how quickly does mail addressed to them turn into something you can read? Free months are pleasant. A notice that sits unopened in February is expensive.

Replacing Bizee on the Rhode Island Record

The state's filing is Form 642. Its title runs long: Statement of Change of Resident Agent and/or Address, LLC version. The fee is $20, and the paperwork is lodged with Business Services at Rhode Island's Department of State, on paper or through the online system the state runs for business filings.

It asks for very little: the entity name and its state identification number, the incoming agent's name, and a Rhode Island street address for that agent. Post office boxes are not accepted. Bizee neither signs nor approves anything, because the choice is yours alone.

Sequence, and this matters more when you are leaving something free than when you are leaving something billed. A bundle running out is a billing event inside a vendor's system.
