What § 7-16-11 Requires
The LLC Act's agent provision, R.I. Gen. Laws § 7-16-11, is blunt: a domestic or registered foreign LLC "shall have a resident agent for service of process." Two kinds of agents qualify under subsection (a):
- An individual living in Rhode Island
- A corporation, LP, or LLC, either formed in Rhode Island or authorized to transact business in the state
Subsection (c) adds a duty most people never read: the agent has to keep its address current with the Secretary of State.
Address Standards
A street address in Rhode Island. The state's own agent-change paperwork demands one, so a PO box will not carry the role by itself. Beyond the paper rule, the address only works if somebody is actually there on business days; an agent nobody can serve is an agent in name only.
