Form 642 and the $20 State Fee
Form 642 is the Statement of Change of Resident Agent and/or Address of Resident Agent for LLCs. File it on paper with the Division of Business Services or electronically through the Business Services Online Filing System. The $20 charge comes from the fee statute, R.I. Gen. Laws § 7-16-65, subsection (10).
Worth knowing: an agent that is only updating its own address files at no charge under § 7-16-65(11), on a separate document, Form 642A. Replacing the agent itself, though, is Form 642 and $20.
The Four Steps
- Pick a qualifying replacement. Rhode Island accepts an individual resident of the state, or a corporation, LP, or LLC organized here or authorized to do business here. Street address required; no PO boxes.
- Fill in Form 642 with your entity name, ID number, and the incoming agent's name and address.
- File it, online or on paper, and pay the $20.
- Check your entity record afterward. The change is real when the state database shows it.
